General terms and conditions of sale for products sold on the crns.synneo.fr website

These conditions of sale apply to all contractual relations between customers of the cnrs.synneo.fr online shop (hereinafter referred to as the "Purchaser"), and

(hereinafter referred to as the "Seller"). 

The Seller is the authorized distributor CNRS, domiciled 1 rond point Maurice Bellonte, 31707 Blagnac Cedex, France (hereinafter referred to as "CNRS"), and offers the sale of products on cnrs.synneo.fr, under its own name. CNRS is the sole owner of the property rights relating to the products sold in the online shop (logos, trademarks, copyrights, etc..) and other related areas. Therefore, the products are exclusive to CNRS. The Seller's general terms and conditions of business set forth below are the only terms and conditions in effect. By accepting the contract, the Buyer acknowledges the validity of the general terms and conditions of sale.

1. The Contracting Parties and the delivery area

The cnrs.synneo.fr online shop is intended for consumers only. Any complaints regarding the site or the delivery services should be addressed to the Seller. The products offered for sale on cnrs.synneo.fr will be delivered to all the countries listed on the site. If the country in which you wish to receive the order does not appear on the list, please contact customer services at the following address: customercare.cnrs@synneo.fr

2. Application of the contract

All product information on cnrs.synneo.co.uk, such as technical specifications, images, dimensions or compatibility details, is not binding and is subject to change unless expressly identified as binding. The offers on cnrs.synneo.co.uk are not binding on the Seller and do not constitute an offer to the public, but merely an invitation to submit an offer. Only the Buyer's purchase order has the value of a binding contractual offer. Submitting a purchase offer involves the following steps: the Buyer may select the items of his/her choice and place them in the virtual basket by clicking on the "Add to basket" button or by clicking on the basket icon. You can choose the quantity of items, and add or remove items from the basket. When you have finished shopping, the Buyer is invited to enter these details in order to complete the order. If the Buyer wishes to pay by credit card, the data will be routed to the site of an authorised payment service provider for verification.

Any order for a product implies acceptance by the Buyer of the general terms and conditions of sale, and by clicking on "I have read the general terms and conditions of sale and I accept them unreservedly", it will be associated with the order. The Buyer may read, print or save the general terms and conditions of sale on his/her computer at any time, using a browser. By clicking on "place order", the Buyer obtains a firm order for the purchase of the items placed in the shopping basket and is subject to the aforementioned conditions. The seller concludes the contract by sending the goods. The contract is concluded and comes into force when the Buyer receives the order confirmation. The order and the order confirmation are considered to have been received when the parties to whom they are addressed are able to access the telematic messages. If the Buyer does not receive an order confirmation or other communication from the Seller within 24 hours, the Buyer is requested to contact the Seller immediately at the following address: customercare.cnrs@synneo.fr.

3. Buying an item

Our online shop is available in English and French. The content of the contract will be saved by the Seller. Once the order has been placed, the Buyer no longer has access to this content. However, the order confirmation or a link contains all the details of the contract. In the event of an order, the Seller may reserve the right to allow the Buyer to purchase only a specific quantity.

4. Rates

The prices and conditions of the items ordered correspond to those displayed on the site on the day the order is placed. The prices shown are for delivery to addresses within the European Union and Switzerland and include VAT. For all other countries, the final prices will not include VAT. The VAT rate is determined by the country of destination of the goods ordered. The Buyer is responsible for the payment of taxes and other charges applied in the country of delivery.

5. Delivery dates

The delivery times and availability of the products indicated in the online shop are not binding. In the event of unavailability of the item ordered, the Buyer will be informed immediately that the goods will not be delivered, and any payment already made by the Buyer will be refunded without further delay. If the Seller is not responsible for the unavailability of the item, it reserves the right to remove the item from the order. If the agreed delivery times are exceeded by more than four weeks, the Buyer has the right to demand in writing that the order be delivered within a reasonable period, or that the contract be rescinded once this new deadline has been exceeded. Claims for compensation for delay may only be considered in the event of negligence or wilful misconduct on the part of the Seller. Delivery deadlines are extended due to unforeseeable impediments beyond the control of the Seller, including but not limited to difficulties in energy supply, lack of means of transport, embargoes, disruptions in production, industrial disputes, delays or errors in delivery on the part of suppliers and in cases of force majeure. If the occurrence of one of the events listed above makes performance of the contract impossible, the Seller will be released from its obligation to deliver.

6. Packaging and delivery

Packaging and delivery costs are invoiced separately, depending on the type and location of delivery, and will be indicated on the order confirmation prior to dispatch. Shipments are made at the Buyer's risk. In the absence of shipping instructions from the Buyer at the time the order is placed, the Seller reserves the right to ship the goods as best it can, without incurring any liability as a result. If, at the time of delivery, the Buyer notices that the parcel is damaged (as a result of transport), he/she must only accept it by making a reservation on the notice and make a claim to the carrier for the damage noted.

7. Reservation of ownership

The Seller retains ownership of the goods delivered until full payment has been received.

8. Payments/Conditions of payment

All purchases made on cnrs.synneo.fr must be paid for by credit card or Paypal. The credit cards accepted are : VISA and Mastercard. The data required for payment will be encrypted before being transferred to a secure payment server and will be verified. This data will be protected against unauthorised access by third parties, and neither the Seller nor CNRS will be able to access it. For accounting and administrative purposes, the Seller reserves the right to verify general information provided by the Buyer. In the event of payment by credit card, the amount of the purchase will be debited to the Buyer following the conclusion of the order.

9. Complaints and defective products

The Buyer is required to check the items on delivery, their quality, quantity and conformity with the order, and to report any anomalies by sending a message to the following address: customercare.cnrs@synneo.fr . Any defect present on an item must be reported within 2 weeks. Rejected items must be returned with postage, packaging and taxes paid. The Seller accepts no liability whatsoever in respect of returned items, unless it is responsible for the deterioration of the products. This provision also applies to order processing. Special orders cannot be returned, cancelled or exchanged unless they are faultless.

10. Applicable law in the event of disputes

The language of this contract is French. These conditions of sale are governed by French law. In the event of a dispute, the French courts shall have exclusive jurisdiction.

11. Final provisions

These conditions of sale and all contracts are governed by French law, with the exception of those parts governed by the United Nations Convention on Contracts for the International Sale of Goods. In the event of a dispute, the place of jurisdiction shall be Toulouse, France, unless otherwise stipulated in favour of the Buyer. If any of the aforementioned clauses is invalid, it will not affect the validity of the others. An invalid or unenforceable clause will be replaced by a statutory regulation. The Seller reserves the right to amend these terms and conditions at any time. The current version is available on the cnrs.synneo.fr website.

12. Copyright

The entire content of the cnrs.synneo.fr website is protected by copyright. The use of all or part of this site, in particular the reproduction, electronic or conventional dissemination, transmission, modification, use of links or use for commercial or advertising purposes is prohibited without written authorisation.

13. Security

User data will be effectively protected against loss, falsification, technical errors, theft, unauthorised use, access or other unauthorised processing. For all other information of a legal nature relating to the processing and protection of customer information, please consult the Privacy Policy on this site.

14. Archiving Evidence

SYNNEO SAS will archive order forms and invoices on a reliable and durable medium constituting a true copy in accordance with the provisions of article 1348 of the French Civil Code. The computerised records of SYNNEO SAS will be considered by all parties concerned as proof of communications, orders, payments and transactions between the parties.

Cancellation, return and withdrawal policy

Right of revocation

You have the right to revoke this contract without giving reasons within a period of fourteen days. The period for revocation is fourteen days from the date on which a third party known to you who is not the carrier or yourself takes or has taken possession of the goods. Consequences of revocation

If you withdraw from this Agreement, we must refund to you all payments received by us from you, including delivery costs (except any additional costs incurred as a result of you choosing a delivery method other than the cheapest standard delivery offered by us), as soon as possible and no later than fourteen days from the date on which we receive notice of your withdrawal from this Agreement. For this refund, we will use the payment method you used for the original transaction, unless another formal agreement has been made with you; under no circumstances will you be charged for this refund. We may refuse to make a refund until we have recovered the goods or you have provided evidence that you have returned the goods, whichever is the earlier. You must return or hand over the goods to us without delay and in any event no later than fourteen days from the date on which you notify us of the revocation of this Agreement. The deadline is met if you send the goods before the fourteen day period has expired. You will bear the direct costs of returning the goods. You shall only be liable for any depreciation in the value of the goods if such depreciation is due to unnecessary handling of the goods in order to check their nature, qualities and mode of operation.

Exclusion of the right of revocation

The right of cancellation does not apply to contracts for the supply of goods which are not prefabricated and for the manufacture of which an individual choice or determination by the recipient is decisive, or which are clearly designed according to the personal needs of the consumer.
